These Terms & Conditions ("Terms") govern your access to and use of the BuySell Portal platform at buysellportal.in (the "Platform"), operated for the purpose of verifying the transfer of private limited companies and other business entities. By registering, logging in, or otherwise using the Platform, you agree to these Terms. If you do not agree, please do not use the Platform.

1. Purpose of the Platform

The Platform is a verification and record-keeping tool. It is used to verify the identity of the parties involved in a company transfer (including directors, shareholders, partners, consultants and vendors), to record and confirm payments between those parties, and to store and approve documents relating to the transfer. The Platform does not itself buy, sell, broker, or facilitate the sale of any company, and does not provide legal, financial, tax or investment advice.

2. Eligibility & Accounts

• You must be at least 18 years old and legally capable of entering into a binding agreement.
• You are responsible for the accuracy of the information you provide, and for keeping your login credentials confidential.
• You are responsible for all activity that occurs under your account. Notify us immediately of any unauthorised use.
• Accounts are provided to specific parties in a specific transfer. You may only access records relating to transfers you are a party to.

3. Your Obligations

• Provide true, accurate and complete information, including KYC details and documents.
• Do not upload any document or information that is false, forged, unlawful, or that you are not authorised to share.
• Do not attempt to access data belonging to other parties or transfers, or to interfere with the security or operation of the Platform.
• Use the Platform only for its intended, lawful verification purpose.

4. Verification, eSign & Third-Party Services

Identity verification, video verification and Aadhaar-based electronic signatures may be carried out through licensed third-party service providers. Your use of those features is also subject to the terms and privacy policies of the relevant provider. We do not control and are not responsible for the availability or accuracy of third-party services.

5. Documents & Records

Documents uploaded to the Platform are reviewed and approved by the operating team before being relied upon. Approval of a document is an administrative step and does not constitute legal certification of its authenticity or validity. You remain responsible for the documents you provide.

6. No Professional Advice

Nothing on the Platform constitutes legal, financial, taxation, secretarial or investment advice. You should obtain independent professional advice before entering into or completing any company transfer.

7. Intellectual Property

The Platform, its design, and its software are owned by the operator. You may not copy, modify, distribute, or reverse-engineer any part of the Platform without written permission.

8. Limitation of Liability

The Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, the operator shall not be liable for any indirect, incidental, or consequential loss, or for any loss arising from inaccurate information supplied by users, from third-party services, or from events beyond our reasonable control.

9. Suspension & Termination

We may suspend or terminate access to any account that breaches these Terms, or where required for security or legal reasons.

10. Changes to these Terms

We may update these Terms from time to time. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.

11. Governing Law

These Terms are governed by the laws of India, and the courts of India shall have jurisdiction over any dispute.
